These Terms of Service ("Terms") govern your access to and use of the Billow mobile app, website, and related services (collectively, the “Services”). By using the Services, you agree to be bound by these Terms.

1. Marketplace & Liability Disclaimer (Critical)

Billow is a communications and discovery platform only. We do not provide, perform, supervise, endorse, or guarantee any business services. We do not vet, background-check, license, insure, or employ businesses. We do not control interactions, pricing, quality, or outcomes. You are solely responsible for your interactions with other users.

A. User Responsibility & No Advice

You are solely responsible for selecting, vetting, negotiating with, hiring, and paying any business you engage through the Services. You must verify licenses, insurance, and references before work begins. All content on Billow, including AI-generated summaries and recommendations, is for informational purposes only and is not professional advice.

B. No Warranties

To the fullest extent permitted by law, the services and all content are provided “as is” and “as available,” without warranties of any kind, express or implied, including any warranties of merchantability, fitness for a particular purpose, title, or non-infringement.

C. Limitation of Liability

To the maximum extent permitted by law, billow and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss, damage, injury, or death arising out of or related to your use of the services, any interaction between users, or any reliance on content (including ai outputs). Where liability cannot be excluded, it is limited to the greater of us$100 or the amount you paid to billow in the 12 months prior to the claim.

D. Indemnification

You agree to defend, indemnify, and hold harmless Billow and its affiliates from any claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your content, your interactions with other users, or your violation of these Terms or applicable law.

2. User Conduct and Content

A. Voluntary Data Sharing

You choose what you share on Billow. You are solely responsible for any personal or sensitive information you voluntarily disclose in chats, posts, or profiles. Billow is not liable for any loss or misuse of information you voluntarily share.

B. Independent Businesses

All businesses on the platform are independent third parties. All services you hire are at your own risk. You hereby release and covenant not to sue Billow and its affiliates, officers, directors, employees, and shareholders for any claims or damages arising from the acts or omissions of any business or user.

C. Prohibited Uses

You agree not to post illegal, harmful, infringing, or hateful content. Use common-sense safety practices when interacting with others. We reserve the right to moderate or remove content and suspend accounts at our discretion.

3. AI-Generated Content

A. AI-Generated Business Profiles & Takedown Process

Some business profiles may be AI-generated and could contain errors. If you are a business owner and believe information about you is inaccurate, you may request correction or removal by emailing contact@billowai.net with sufficient detail and proof of representation.

B. AI Content Disclaimer

Any AI outputs (recommendations, summaries, etc.) are provided “as is” for informational purposes only and may be inaccurate. You must independently verify all information before taking action. AI outputs are not professional advice and should not be relied upon as such.

4. Dispute Resolution & Governing Law

A. Disputes Between Users

Billow is not a party to disputes between users and has no obligation to intervene. You are responsible for resolving all disputes directly with other users.

B. Governing Law

These Terms and your use of the Services are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. Venue for any disputes shall be the courts located in Texas, USA.

C. Binding Arbitration & Class Action Waiver

(Recommended) All disputes with Billow will be resolved by binding arbitration on an individual basis. You hereby waive your right to a jury trial and to participate in any class action lawsuit. The arbitration will be conducted in Texas, USA.

5. General Terms

We may modify these Terms at any time. Your continued use of the Services after changes are posted constitutes your acceptance of the new Terms. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
